Corwin Press, Inc. ("Corwin"), a subsidiary of SAGE Publications, Inc. (collectively referred to herein as "Corwin", "we", "our", "us") provides this website and the materials located at and under the domain name https://corwin.instructure.com/login/canvas and such other domains as Corwin operates or may in the future operate (collectively, this "Site" ) and any other Corwin services offered on this Site as described below (collectively, the "Services" ) to you, the user, subject to compliance with these terms and conditions and our Copyright Notice and Claims Regarding Copyright Infringement Policy (“Copyright Policy”) (http://www.corwin.com/about/copyright) relating to this Site and the Services (collectively, this"Agreement" ). By accessing or using the Site or the Services, you accept and agree to be legally bound by this Agreement, as it may be amended or supplemented from time to time, and agree to all operating rules, terms, conditions, policies, and procedures that may be published on this Site or in connection with the Services. All such rules, terms, conditions, policies, and procedures are incorporated into this Agreement by this reference. We may change, add or remove portions of this Agreement at any time, and if we do so, we will post such changes on the Site and the changes will become immediately effective, and your continued use of the Site will indicate your acceptance of this Agreement as it is then in effect. Accordingly, you should visit this Site from time to time to review the then-current and effective terms and conditions because they are legally binding on you.
1. General License for Trial Users. If you have not paid for the Services and are using the Services on a trial basis, Corwin hereby grants to you a revocable, non-exclusive, non-transferable, non-sublicensable and limited right and license to access and use only those portions of the Site and the Services accessible to trial users who have been provided a temporary logon approved by Corwin and subject to this Agreement.
2. Access License for Paid Subscription Users. If you have paid for the Services or the school, district or other institution that has paid for the Services has designated you as an authorized user, Corwin hereby grants to you a revocable, non-exclusive, non-transferable, non-sublicensable and limited right and license to access and use only those portions of the Site and the Services in accordance with the terms of your subscription and subject to this Agreement.
3. Ownership. It is hereby understood and agreed that Corwin is the owner or licensee of all right, title and interest to the eCourse and to all other content included on this Site including, without limitation, PDFs, Powerpoints, Word documents, videos, eBooks, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, usage data, and software. You, as licensee, through your use of such content on the Site, do not acquire any ownership rights to the Site or to any content therein. Further, if Corwin uses a third party supplier for the platform of the Site, such third party supplier will retain all proprietary rights in such platform and in all third party trademarks associated and displayed on the Site.
4. Access. Paid subscription users will have access to the Site for a period of 365 days from the date of enrollment. You will obtain at your cost all telecommunications and other equipment and software (including an Internet browser) together with all relevant software licenses necessary to access the Site.
5. Use Restrictions. You may download one copy of any text materials from the Site for your personal, non-commercial use provided that all copyright and other proprietary notices remain intact and are prominently displayed. Notwithstanding the foregoing, neither the Site nor any content from the Site may be copied, republished, uploaded or otherwise distributed. You may not sublicense, transfer, resell, distribute, use the Site on a timeshare or service bureau basis, operate, or otherwise make available the Site or its content to any third party for commercial purposes or financial gain or use the Site or its content in any other media or in any other location. You will keep your log in credentials secure from unauthorized use; sign-in only under your own username and password and not disclose your password to anyone; and you will notify Corwin immediately in writing if you become aware of any of the following: (a) any loss or theft of your password; (b) any unauthorized use of your username or password; or (c) any breach of the terms of this Agreement. Additionally, you are prohibited from reverse engineering, decompiling, or otherwise discovering, the equivalent of any third party’s platform or the Site. You will also comply with all applicable laws, including, without limitation, those relating to export control laws and regulations.THE SITE AND CONTENT (INCLUDING DESIGNS) ON THE SITE URL(S) IS PROTECTED BY © COPYRIGHT AND MUST NOT BE USED, DISPLAYED, MODIFIED, ADAPTED, DISTRIBUTED, TRANSMITTED, TRANSFERRED, PUBLISHED OR OTHERWISE REPRODUCED IN WHOLE OR IN PART IN ANY FORM BY ANY MEANS OTHER THAN STRICTLY IN ACCORDANCE WITH THIS AGREEMENT. Without prejudice to any other right or remedy, Corwin reserves the right to withdraw access to the Site immediately if it becomes aware of any infringement of the copyright in the Site or its content by you and may terminate this Agreement in accordance with Section 13 below.
6. Third Party Content and Links. This Site may include content and information provided by a school, district, institution or other third party. Corwin is not responsible for such third party content. Links on this Site may provide access to other Internet sites that are not maintained or controlled by Corwin. Such external Internet sites contain information created, published, maintained or otherwise posted by organizations and entities independent of Corwin. Corwin is not responsible for the content of those sites. Links on this Site may also provide access to other entities affiliated with Corwin. This Agreement applies only to the Services offered at the Site. Your use of any website other than the Site will be subject to the terms and conditions posted on that website. Corwin takes no responsibility and assumes no liability for any content posted by any school, district, institution or any third party on the Site or on any other website, nor does Corwin approve, endorse, verify or certify information available on the Site or at any external site or linked addresses. Corwin takes no responsibility and assumes no liability for the privacy practices of such third parties.
7. Disclaimer. The Site is provided "as is" and without warranty of any kind either express or implied. You expressly agree that your use of the Site is at your sole risk. Further, Corwin makes no warranty of any kind concerning the accuracy or suitability of the content contained on the Site and may modify the Site and its content at any time, without prior notice or liability to you. To the maximum extent permitted by applicable law, Corwin, and any of its third party suppliers and partners and each of their affiliates, suppliers and resellers, disclaims all warranties, express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title and/or non-infringement. Furthermore, Corwin does not warrant that the functions of the Site or any third party website will be uninterrupted or error-free, that defects will be corrected, or that the Site or the server(s) of Corwin and/or any third party platform that makes the Site available are secure, free of viruses or other harmful components, or will be accessible at all times or any given time. Notwithstanding anything herein to the contrary, Corwin further expressly disclaims any warranty of any kind whatsoever concerning any third party website. The exclusions set out herein only apply to the extent permitted by applicable law.
8. Limitations of Liability. To the maximum extent permitted by applicable law, in no event will Corwin, or any of its third party suppliers and partners and each of their affiliates, suppliers and resellers, be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use or inability to use the Site even if Corwin has been advised of the possibility of such damages. In addition, Corwin shall not be liable for any damages or liability that result from or arise out of your use or your inability to use any of the tools and/or resources offered on the Site or any other services that may be provided by a third party. In any case, Corwin’s entire liability under any provision of this Agreement will be limited to the actual price paid for access. Notwithstanding the foregoing, Corwin shall have no liability for your inability to register or access the Site or any of the tools and/or resources offered on the Site.
9. Security. Corwin uses industry-standard encryption technologies in accordance with its Privacy Policy posted at http://www.corwin.com/privacypolicy.html.
10. Personal Data. Corwin will process any personal data which may be obtained as part of your registration for and use of the Site in accordance with its Privacy Policy posted athttp://www.corwin.com/privacypolicy.html.
11. Cookies. Corwin uses standard cookie technology in accordance with its Privacy Policy posted at http://www.corwin.com/privacypolicy.html.
12. Choice of Law and Forum. This Agreement will be interpreted in accordance with the laws of the State of California, U.S.A. without reference to conflicts of laws and without regard to its location of execution or performance. You agree that any and all disputes which may arise will be resolved before a court located in the State of California, U.S.A., to the exclusion of the courts of any other state or country. In the event a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this Agreement will continue in full force and effect.
13. Term. This Agreement is effective throughout the access period defined in Section 4 above unless earlier terminated as permitted herein. This Agreement will terminate immediately without notice from Corwin if, in the sole discretion of Corwin, you fail to comply with any term, condition, or provision of this Agreement.
14. Reservation of Rights. All rights not expressly granted herein are reserved by Corwin.
